Terms and Conditions of Use

These Terms and Conditions ("Terms") govern your access to and use of websites, applications, products, and services (collectively, the "Services") provided by ConnexUS AI Inc., a Delaware corporation ("ConnexUS AI," "Company," "we," "us," or "our"), including but not limited to ragbox.co, theconnexus.ai, and the RAGbox product.

By accessing or using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our Services.

1. Definitions

• "RAGbox" means our private Retrieval-Augmented Generation (RAG) intelligence product for secure document analysis.
• "Early Access Program" means the invitation-only beta or pre-release access to RAGbox.
• "Pioneer" means an individual or entity granted Early Access to RAGbox.
• "User," "you," or "your" means any individual or entity accessing or using our Services.
• "Content" means any data, documents, text, images, or other materials uploaded, submitted, or processed through our Services.

2. Eligibility

Our Services are available only to individuals who are at least 18 years of age and can form legally binding contracts under applicable law. By using our Services, you represent and warrant that you meet these eligibility requirements. Organizations may use our Services through authorized representatives who have authority to bind the organization to these Terms.

3. Account Registration and Waitlist Applications

When you register for an account or submit a waitlist application, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

Waitlist Disclaimer: Submitting an application for Early Access does not guarantee acceptance into the Early Access Program. Selection is at the sole discretion of ConnexUS AI. Placement on a waitlist does not create any binding agreement or entitlement to access our products.

4. RAGbox Product Terms

4.1 Product Description

RAGbox is a private RAG intelligence platform designed to allow secure document analysis using Large Language Models (LLMs) that operate locally or in isolated environments. RAGbox is designed so that documents and queries do not communicate with external AI providers, helping to maintain data privacy and prevent use of your content for training third-party AI models.

4.2 Pre-Release Disclaimer

RAGbox is currently in development. Features, functionality, pricing, and availability are subject to change without notice. We make no guarantees regarding the final product specifications, release date, or continued availability of any features described in marketing materials or during the Early Access Program.

4.3 Pioneer Free Trial

Pioneers accepted into the Early Access Program may receive a complimentary subscription to RAGbox for a period of one (1) year from the date of product release ("Trial Period"). The Trial Period is subject to the following conditions:

• (a) The Trial Period begins on the date RAGbox is made available to you
• (b) The trial subscription may be limited in features, usage, or capacity compared to paid plans
• (c) ConnexUS AI reserves the right to modify, suspend, or terminate the trial at any time
• (d) After the Trial Period, continued use requires a paid subscription at then-current rates
• (e) Trial subscriptions are non-transferable and have no cash value

4.4 Data Privacy Commitment

RAGbox is designed with privacy as a core principle. Documents processed through RAGbox are not transmitted to external AI training systems, and we do not use your content to train third-party AI models. Your documents remain under your control. Please see our Privacy Policy for complete details on data handling practices.

5. Acceptable Use Policy

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or networks
• Use automated systems (bots, scrapers) without authorization
• Reverse engineer, decompile, or disassemble our Services
• Resell, sublicense, or commercially exploit our Services without authorization
• Interfere with or disrupt the integrity or performance of our Services
• Use our Services to process, store, or transmit illegal content

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, trademarks (including "RAGbox" and "ConnexUS AI"), software, and technology, are owned by ConnexUS AI or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

Your Content: You retain ownership of content you upload to our Services. By uploading content, you grant us a limited license to process, store, and display your content solely for the purpose of providing our Services to you.

7. Fees and Payment

Certain Services may require payment of fees. All fees are stated in U.S. dollars unless otherwise specified. You agree to pay all applicable fees and authorize us to charge your designated payment method. Fees are non-refundable except as required by law or as expressly stated in a separate agreement.

These Terms remain in effect while you use our Services. We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use our Services ceases immediately.

We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

AI Output Disclaimer: RAGbox uses artificial intelligence to process and analyze documents. AI-generated outputs may contain errors, inaccuracies, or incomplete information. You are solely responsible for reviewing and verifying any AI-generated outputs before relying on them for any purpose.

You agree to indemnify, defend, and hold harmless ConnexUS AI and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Content.

Our Services may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

We may modify these Terms at any time by posting updated Terms on our website. Material changes will be effective 30 days after posting, unless otherwise stated. Your continued use of our Services after modifications constitutes acceptance of the updated Terms.

15. Dispute Resolution and Arbitration

15.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or our Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

Before initiating arbitration, you must send a written Demand for Arbitration to ConnexUS AI Inc., Attn: Legal Department, 3301 N University Dr. Suite 100, Coral Springs, Florida 33065. If we cannot resolve the dispute within 30 days, either party may commence arbitration.

15.4 Arbitration Location and Fees

The arbitration shall take place in Palm Beach County, Florida. Each party shall bear its own arbitration fees and costs, except as otherwise provided by AAA Rules.

15.5 Small Claims Exception

Either party may bring an individual action in small claims court in Palm Beach County, Florida, for disputes within the court's jurisdiction.

15.6 Time Limitation

YOU MUST INITIATE ARBITRATION WITHIN ONE (1) YEAR OF THE DATE THE CLAIM AROSE. FAILURE TO DO SO CONSTITUTES A WAIVER OF SUCH CLAIM.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. To the extent arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in Palm Beach County, Florida.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and ConnexUS AI.
• Severability: If any provision is found unenforceable, the remaining provisions shall remain in effect.
• Waiver: Our failure to enforce any provision shall not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction.
• Force Majeure: We shall not be liable for delays or failures due to circumstances beyond our reasonable control.
• Notices: Notices to you may be sent to the email address associated with your account.

18. SMS/Text Message Terms

By providing your phone number and opting in to receive text messages, you consent to receive both marketing and non-marketing messages from ConnexUS AI via SMS or MMS. Message frequency varies. Message and data rates may apply. You may opt out at any time by replying "STOP" to any message. Reply "HELP" for assistance. Consent is not required to make a purchase.
